Terms of Service
Please read these terms carefully before using our services.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "User") and OctaPay Inc. ("OctaPay", "we", "us").
01 Agreement to Terms
By registering for an account, accessing, or using the OctaPay platform, API, or any associated services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Important: If you do not agree with any part of these terms, you must immediately discontinue use of our services.
02 Account Eligibility & Registration
Eligibility Requirements
- Must be at least 18 years of age.
- Must operate a legitimate business entity.
- Must not be located in a sanctioned jurisdiction.
- Must have the authority to bind the business to these Terms.
Account Security
You are responsible for maintaining the confidentiality of your account credentials. OctaPay is not liable for any loss or damage arising from your failure to protect your password or API keys.
03 Payment Processing & Settlement
Fees and Charges
We charge a standard processing fee of 1.4% + €0.25 per successful transaction. Fees are deducted automatically from the transaction amount at the time of processing.
Payout Schedule (Settlement)
Funds are settled to your linked bank account on a T+2 rolling basis (2 business days after the transaction date), provided your account is in good standing.
Reserve Account
In certain high-risk cases, we may establish a rolling reserve (e.g., 10% held for 90 days) to cover potential chargebacks or refunds.
04 Termination
We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
05 Governing Law
These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
