1. Agreement to Terms
By accessing and using OctaPay's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Eligibility
To use OctaPay's services, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have the legal authority to enter into this agreement
- Operate a legitimate business engaged in lawful activities
- Provide accurate and complete registration information
- Not be located in a country subject to international sanctions
3. Account Registration
To access our services, you must create an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use
- Ensuring your account information remains accurate and up-to-date
4. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Processing payments for illegal goods or services
- Engaging in fraudulent transactions or money laundering
- Selling counterfeit, stolen, or unauthorized goods
- Violating intellectual property rights
- Engaging in deceptive marketing practices
- Processing payments without proper authorization
- Circumventing our security measures or fraud detection systems
- Attempting to access other users' accounts or data
5. Payment Processing
5.1 Fees and Charges
You agree to pay all applicable fees as outlined in our pricing structure. Standard fees are 1.4% + €0.25 per successful transaction. Enterprise customers may have custom pricing arrangements.
5.2 Settlement
Funds from successful transactions will be transferred to your designated bank account on a T+2 (two business days) rolling basis, subject to our risk assessment and compliance requirements.
5.3 Chargebacks and Disputes
You are responsible for all chargebacks and disputes related to your transactions. We reserve the right to deduct chargeback amounts and associated fees from your account balance or future settlements.
6. Compliance and KYC
We are required to comply with anti-money laundering (AML) and know-your-customer (KYC) regulations. You agree to provide all requested documentation and information for identity verification and ongoing compliance monitoring.
7. Service Availability
While we strive to maintain 99.9% uptime, we do not guarantee uninterrupted access to our services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.
8. Limitation of Liability
To the maximum extent permitted by law, OctaPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:
- Your use or inability to use our services
- Unauthorized access to or alteration of your data
- Third-party conduct or content on the services
- Any other matter relating to the services
9. Indemnification
You agree to indemnify, defend, and hold harmless OctaPay and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these terms.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service. Upon termination, your right to use the services will immediately cease.
11. Dispute Resolution
Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, NY, and shall be conducted in English.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of material changes via email or through our platform. Your continued use of our services after such modifications constitutes your acceptance of the updated terms.
